Terms of Service

These Terms of Service (“Terms”) govern your access to and use of chatlasso, the websites chatlasso.com and app.chatlasso.com, and related services (together, the “Service”). The Service is operated by Ringpixel LLC(“Ringpixel”, “we”, “us”). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of a business, you represent that you have authority to bind that business.

1. The Service

chatlasso automates replies to comments and direct messages on Instagram professional accounts that you connect, using the official Instagram messaging API. The Service is strictly reply-only: it sends messages only to people who have first commented, messaged, or tapped a button. The Service provides no cold-outreach capability, and you may not attempt to use it to send unsolicited messages.

2. Eligibility and accounts

• You must be at least 18 years old and able to form a binding contract.
• You are responsible for your account credentials and for all activity in your workspace, including activity by teammates you invite.
• You may only connect Instagram accounts that you own or are expressly authorized to manage.
• One Instagram account may be connected to only one chatlasso customer account at a time. Attempting to connect an Instagram account that is already connected to a different customer may result in automatic suspension of your workspace while we review.

3. Acceptable use and Meta platform compliance

You agree to use the Service in compliance with all applicable laws and with Meta's applicable terms and policies, including the Meta Platform Terms, Instagram's Terms of Use, and Instagram Community Guidelines. In particular you must not use the Service to send spam, harassing or deceptive messages, or content that violates Instagram's policies; message people who have not interacted with your account first; buy, sell, or transfer access to connected Instagram accounts; or attempt to circumvent rate limits, review processes, or security controls (whether ours or Meta's).

We may suspend or terminate workspaces that violate this section, with or without notice, to protect the Service, other customers, and our standing with the Instagram platform.

4. Relationship with Meta

chatlasso is an independent product of Ringpixel LLC. It is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. “Instagram” is a trademark of Meta Platforms, Inc. The Service depends on APIs provided by Meta which may change, be limited, or become unavailable at any time; we are not responsible for actions Meta takes with respect to its platform or your Instagram account, including restrictions, feature changes, or termination of API access.

5. Plans, billing, and the contact allowance

• Paid plans are billed in advance on a monthly or yearly basis through our payment processor (Stripe). Prices are shown before checkout and may change with at least 14 days' notice, effective at your next billing cycle.
• Trials are free and require no payment method. When a trial ends without an active subscription, flows pause; your data is retained.
• Each plan includes a monthly contact allowance: your flows may message up to the number of unique people per workspace per calendar month shown on the pricing page for your plan, counted across all flows and connected accounts, with unlimited messages to each of those people. When the allowance is exhausted, messages to new people pause until the next month; people already contacted that month continue to receive replies. Allowance sizes may change with notice.
• Taxes may be added where required. Refunds are handled per our Refund Policy.

6. Your content and data

You retain all rights to the content of your flows and messages. You grant us the limited license needed to operate the Service (storing, processing, and transmitting your content to Instagram on your behalf). Our handling of personal data is described in the Privacy Policy. You are responsible for the content your flows send and for having the right to share any links or materials you deliver through the Service.

7. Intellectual property and feedback

The Service, including its software, design, and branding, is owned by Ringpixel LLC and its licensors. These Terms grant no rights to our trademarks or code beyond use of the Service. If you send us feedback, we may use it without restriction or obligation.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR ENGAGEMENT, FOLLOWER, OR REVENUE OUTCOME WILL BE ACHIEVED.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RINGPIXEL LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR USD $100 IF YOU HAVE PAID NOTHING).

10. Indemnification

You will defend and indemnify Ringpixel LLC against claims arising from your content, your use of the Service in violation of these Terms or of Meta's policies, or your violation of law or third-party rights.

11. Termination

You may cancel at any time from Billing; access continues until the end of the paid period. We may suspend or terminate the Service for breach of these Terms, risk to the platform, or legal requirements. Sections 6 through 12 survive termination. Upon account deletion we remove your data as described in the Privacy Policy.

12. Governing law and changes

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, and disputes will be resolved in the state or federal courts located in Delaware, unless mandatory law in your country of residence provides otherwise. We may update these Terms; material changes will be announced by email or in-app at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
